ELIXIR COTERIE Crafting Experiences Beyond the Glass - a brand of AMM Brands LLP TERMS AND CONDITIONS Effective Date: 17/08/2026 | Last Updated:17/08/2026 www.elixircoterie.in All users of this site agree that access to and use of this site, and the engagement of our bartending, mixology, bar design, consultancy, staffing, or equipment rental services (collectively, “Services”), are subject to the following terms and conditions and other applicable law. If you do not agree to these terms and conditions, please do not use this site or book our Services. www.elixircoterie.in reserves the right, at its discretion, to change, modify, add, or remove portions of these Terms at any time by posting the amended Terms, without any prior notice to you. You are requested to review these Terms regularly. Your continued use of the website or Services after the posting of changes constitutes your deemed and binding acceptance of such changes. In addition, when using any particular services/ accessing the website including but not limited to (e.g. Service Bookings, Consultancy Engagements, Equipment Rentals), you may be subject to any posted guidelines, policies, rules, or additional terms and conditions applicable to such services. All such guidelines, rules, or additional terms are hereby incorporated by reference into the Terms and shall be considered as part and parcel of these Terms. 1. Who We Are Elixir Coterie is a luxury bartending, mixology, and cocktail-bar services company. We provide expert bartenders and bar staff, bespoke cocktail-bar design and setup, bar consultancy and management, bar-equipment rental, and related services for weddings, corporate events, festivals, and private parties across India and select international destinations. 2. Privacy Notice and Consent Elixir Coterie (AMM Brands LLP), as a Data Fiduciary, is committed to protecting your personal data and processing it in accordance with the Digital Personal Data Protection Act, 2023 and the DPDP Rules, 2025. We provide this notice to enable you to give specific, informed, and unambiguous consent for the processing of your personal data. Your consent is voluntary, and you have the right to withdraw it at any time with the same ease as it was given. 2.1. Personal Data We Collect and Process We collect and process the following personal data: a) Name (first and last name) b) Phone number (mobile/WhatsApp) c) Email address d) Postal address (event venue/location) e) Event details (date, type of event, guest count, theme, special requirements) f) Venue address and access details g) Billing and payment information (transaction details, UPI/credit/debit card confirmation details) h) Communication data (records of calls, emails, WhatsApp messages, and chat transcripts) i) Device information (IP address, browser type, device model, operating system) j) Website usage data (through cookies and analytics) 2.2. Specific Purposes of Processing Your personal data will be processed for the following specific purposes: a) Responding to your enquiries, requests for quotations, and service bookings. b) Delivering our bartending, bar design, consultancy, and equipment rental services as per your confirmed booking. c) Managing event logistics, including staff scheduling, inventory management, and venue coordination. d) Communicating with you regarding your booking, service updates, and post-event follow-ups. e) Processing payments and issuing invoices. f) Internal record-keeping and data analytics to improve our services. g) Complying with legal obligations, including tax and regulatory requirements. 2.3. Your Rights as a Data Principal a) Right to access: You may request access to your personal data that we hold. b) Right to correction and updation: You may request correction or updation of inaccurate or incomplete personal data. c) Right to erasure: You may request deletion of your personal data, subject to legal retention obligations. d) Right to withdraw consent: You may withdraw your consent at any time. e) Right to nominate: You may nominate a representative to exercise your rights in the event of your incapacity or death. 2.4. Withdrawal of Consent You may withdraw your consent at any time with the same ease as it was given. Grievance Redressal If you have any concerns regarding the processing of your personal data or wish to exercise your rights, you may contact our Grievance Officer whose details are provided in these Terms and Conditions. We aim to acknowledge grievances within 48 hours and resolve them within 30 days of receipt. You also have the right to make a complaint to the Data Protection Board of India. 3. Bookings, Quotations and Confirmations 3.1. Submitting an enquiry through the Site, WhatsApp, email, or our “Get a Quote” form does not constitute a confirmed booking. 3.2. A quotation issued by Elixir Coterie is valid for the period stated on the quotation (or, if unstated, 15 days from issue) and is subject to bartender/equipment availability at the time of confirmation. 3.3. A booking is confirmed only upon: a) your written acceptance of the quotation/service agreement, and b) receipt of the advance booking payment. 3.4. Package inclusions (number of bartenders, bar stations, glassware, equipment, hours of service, menu items) are as specified in your written quotation. Any additions or changes requested after confirmation are subject to availability and will be charged additionally as per our then-current rate card. 4. Eligibility and Nature of Engagement By submitting an enquiry, requesting a quote, or confirming a booking, you represent that: a) SeIf booking on behalf of a company, venue, or wedding/event planning agency, you have the authority to bind that entity to these Terms and to the specific quotation/service agreement issued for the event; b) All information you provide regarding the event (date, venue, guest count, dietary/beverage requirements, venue access, power/water availability) is accurate and complete to the best of your knowledge; and c) You will ensure that all applicable permissions, licences, and regulatory approvals required for your event (see Section 8, Licences and Compliance) are in place. 5. Payment Terms Our standard payment structure is as follows, unless otherwise agreed in writing for your specific event: a) A non-refundable advance/booking payment (as specified in your quotation, typically 40-50% of the total package value) is payable at the time of booking confirmation to secure your date, staff, and equipment; b) The balance payment is payable prior to the event, by the due date specified in your quotation/invoice (typically 3-7 days before the event date), unless a different schedule is agreed in writing; c) Any additional charges arising from on-the-day changes, extensions of service hours, additional consumables, or damage/loss of rented equipment (see Section 9) are payable within 7 days of the invoice raised after the event; d) All amounts quoted are exclusive of applicable GST unless stated otherwise, and a tax invoice will be issued for every booking; and e) We accept payment via bank transfer, UPI, or the payment methods specified in your invoice. Failure to make payment by the due date may result in suspension of preparatory work or, in cases of non-payment of the balance prior to the event, cancellation of the booking without refund of the advance. 6. Cancellations, Postponements and Rescheduling We understand that event plans can change. Because we block bartender rosters, equipment, and inventory against your date well in advance, the advance/booking payment referred to in Payment Terms Section is non-refundable in all circumstances, including cancellation by you. In addition, the following cancellation charges, which represent our genuine, reasonable, and pre-estimated compensation for the losses we will incur (including but not limited to confirmed staff scheduling, equipment reservation, and preparatory work undertaken), apply to the balance/package value: a) More than 60 days’ notice: no further cancellation charge beyond the non-refundable advance; b) 30-60 days’ notice: 50% of the total package value is payable; c) Less than 30 days’ notice, or a no-show on the event date: 100% of the total package value is payable. 6.2. Postponement/Rescheduling: We will make reasonable efforts to accommodate a one-time postponement to an alternative date, subject to bartender and equipment availability and any resulting price difference (e.g., peak-season surcharge), provided you notify us in writing at least 15 days before the original event date. Postponement requested within 15 days of the event will be treated as a cancellation under the schedule above, and a fresh booking (with a fresh advance payment) will be required for the new date. 6.3. Cancellation by Elixir Coterie: In the rare event that we are unable to fulfil a confirmed booking due to reasons within our control, we will offer you a full refund of all amounts paid, or, where possible, arrange a comparable alternative at no additional cost. Our liability in such cases is limited as set out in Limitation of Liability section. 7. Bar Equipment Rental Where your booking includes rental of bar carts/trolleys, glassware (basic or crystal), bar tools, coolers, or related equipment, the following additional terms apply: a) A refundable security deposit may be collected prior to delivery/dispatch of rental equipment, the amount of which will be specified in your quotation. The deposit will be refunded within 7-10 business days after the event, subject to deduction of any repair, replacement, cleaning, or shortage charges; b) You (or your venue/event manager) are responsible for the equipment from the time of delivery/setup until collection/breakdown by our team, and for any loss, breakage, or damage occurring during this period beyond ordinary wear and tear; c) Glassware and crystal items are inherently fragile; breakage during normal service use is expected and reasonably provided for, but excessive breakage, missing items, or damage due to negligence or misuse will be charged at replacement value, deducted from the security deposit or invoiced separately if the deposit is insufficient; d) Rental equipment is provided strictly for use at the specified event, date, and venue, and may not be sub-rented, relocated to another venue, or used beyond the agreed service window without our prior consent. 8. Licences, Permits and Compliance Elixir Coterie provides bartending talent, mixology expertise, bar design, and equipment. We do not sell, supply, or hold a licence to sell alcoholic beverages. Accordingly: a) You (or your venue) are solely responsible for procuring all liquor stock to be served at your event, unless expressly agreed otherwise in writing in your quotation, and for holding all licences, permits, and No-Objection Certificates required under applicable state excise and local law to serve alcohol at your chosen venue, including any temporary event/bar licence; b) Our bartenders will provide responsible, professional bar service, including the right to refuse service to any guest who is visibly intoxicated or who, in our staff’s reasonable judgment, appears to be a minor and cannot produce valid age proof upon request; and c) Elixir Coterie shall not be liable for any fine, penalty, seizure, event disruption, or other consequence arising from your (or your venue’s) failure to hold the requisite licences or permits for the service of alcohol at your event. d) Our zero-pilferage inventory tracking is intended to safeguard your liquor stock and control wastage; it does not constitute, and should not be relied upon as, a guarantee, warranty, or audit certification of stock reconciliation. 9. On-Site Conduct, Venue Access and Guest Safety To ensure a smooth event experience, you agree to: a) Provide our team with timely and safe access to the venue for setup, service, and breakdown, including adequate power, water, waste-disposal, and workspace as specified in your quotation; b) Ensure the venue and any third-party vendors comply with applicable health, safety, and fire-safety regulations; and c) Ensure guests treat our bartending and event staff with courtesy and respect. Elixir Coterie reserves the right to withdraw staff from an event, without liability, in situations involving harassment, threats, or unsafe conditions towards our team. Elixir Coterie is not responsible for the conduct, health, or safety of your guests once beverages have been responsibly served, including any consequence of guests’ independent decision to consume alcohol, nor for injury, loss, or damage arising from causes outside our reasonable control at the venue (including third-party vendor equipment, venue infrastructure, or weather conditions at outdoor events). 10. Consultancy and Bar Management Services Where you engage our bar consultancy services (layout planning, menu curation, staff training, SOP development, inventory/liquor stock management), our recommendations are based on industry best practice and our professional experience. Implementation outcomes depend on factors within your control (venue constraints, budget, staffing decisions, ongoing management), and Elixir Coterie does not guarantee specific revenue, cost-saving, or operational outcomes from consultancy engagements unless expressly stated in a separate signed statement of work. 11. Photography, Videography and Marketing Use Elixir Coterie may photograph or record video of our bar setups, drinks, and service (excluding close-up, identifiable images of guests unless consented to separately) at events we service, for use in our portfolio, Site, social media, and marketing materials. If you would prefer that no photography/videography of your event be used for marketing purposes, please notify us in writing at least 7 days before your event, and we will honour that request. 12. Intellectual Property All content on the Site - including the Elixir Coterie name and logo, cocktail menus, bar design concepts, photography, videos, and written content - is the property of AMM Brands LLP (and its affiliated, as applicable) or its licensors, and is protected under applicable intellectual property laws. Signature cocktail recipes, menu designs, and bar layouts created for your event remain our intellectual property and may be reused for other clients unless it has been agreed in writing. 13. Warranty Disclaimer The Site and all information on it (including package descriptions, pricing indicators, and portfolio content) are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the fullest extent permitted under applicable law. 14. Limitation of Liability To the fullest extent permitted by applicable law, Elixir Coterie, AMM Brands LLP, and their respective affiliates, directors, employees, and staff shall not be liable for any indirect, incidental, special, or consequential damages, or loss of enjoyment, reputation, or anticipated savings, arising out of or in connection with the Services or your use of the Site, even if we have been advised of the possibility of such damages. Our aggregate liability arising out of or relating to any single booking shall not exceed the total amount paid by you for that booking. This limitation does not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, or fraud. 15. Force Majeure Neither party shall be liable for any delay, failure, or inability to perform arising from causes beyond its reasonable control, including acts of God, natural disasters, extreme weather, fire, pandemic/epidemic, government restrictions or curfews, venue closure, civil unrest, strikes, or transportation disruption. In such circumstances, we will work with you in good faith to reschedule your event to a mutually convenient date (subject to Cancellations section) or, where rescheduling is not feasible, to agree a fair resolution regarding amounts paid, after accounting for costs already incurred by Elixir Coterie (staff booking, procurement, and preparatory work) up to the date the force majeure event arose. 16. Links to Other Websites The Site may contain links to third-party websites, including our sister brand The Cocktail Shop, social media platforms, and partner sites, for your convenience. We do not operate, control, or endorse these third-party websites and are not responsible for their content or privacy practices. Accessing any linked website is at your own risk. 17. Termination Elixir Coterie reserves the right to suspend or discontinue any part of the Site or our Services, and to decline or terminate a booking, where: false or misleading information has been provided; payment obligations under Section 5 are not met; or these Terms are otherwise materially breached. Where a booking is terminated due to your breach, the cancellation charges in Section 6 will apply and no refund of amounts already due will be made. 18. Indemnification You agree to indemnify, defend, and hold harmless Elixir Coterie, AMM Brands LLP, and their respective officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: your breach of these Terms; your (or your venue’s) failure to obtain required licences/permits under Section 8; any misconduct by your guests towards our staff; or any information or instructions you provide to us in connection with your event. 19. Typographical Errors In the event that a service or product is mistakenly listed at an incorrect price on the Site, Elixir Coterie reserves the right to refuse or cancel any orders placed for the service or product listed at the incorrect price. Elixir Coterie reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card / debit card charged or an UPI payment made. 20. Grievance Redressal In accordance with the Information Technology Act, 2000 and applicable consumer protection law, any complaints or concerns regarding these Terms, our Services, or a booking may be addressed to our Grievance Officer at the details below. Governing Law and Jurisdiction For bookings and Services delivered in India, these Terms shall be governed by and construed in accordance with the laws of India, and subject to the courts at New Delhi, India shall have exclusive jurisdiction. For bookings delivered in the UAE or Singapore, these Terms shall be governed by the laws of the United Arab Emirates or the Republic of Singapore respectively, and the courts of Dubai or Singapore (as applicable) shall have jurisdiction, unless otherwise agreed in your signed service agreement. 22. Severability and Entire Agreement If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and your specific signed quotation/service agreement (where issued), constitute the entire agreement between you and Elixir Coterie regarding your booking, superseding any prior discussions or understandings. 23.
